Real Estate Law

Mr. Sokol has practiced corporate, real estate and securities law for over 30 years. In his capacity as a real estate attorney, Mr. Sokol advises on purchases, financings, leasing, sales, and tax-deferred exchanges, and related tax planning strategies. Mr. Sokol negotiates purchase and sale agreements for the purchase and sale of commercial, industrial, and multifamily projects, and arranges construction and permanent financing, either in connection with acquisitions or refinancings. He issues borrower’s counsel legal opinions to out of state lenders and coordinates closings for out of state property transactions with a network of special local counsel. He represents landlords and tenants in commercial real estate lease negotiations. Most recently, he has been negotiating with lenders and servicers the terms of loan modifications and discounted note purchases.

Corporate and Securities Law

In his capacity as a corporate attorney, Mr. Sokol organizes domestic and foreign corporations, forms domestic and foreign limited partnerships and limited liability companies, and establishes domestic and foreign trusts. He drafts limited liability company operating agreements and partnership agreements conforming to conduit and mezzanine lenders’ single purpose entity provisions to accommodate their conduit and mezzanine loans. Mr. Sokol negotiates and drafts shareholders agreements for newly formed companies. He also prepares the documentation used by his clients in connection with their exempt private securities offerings.

Before Law

Prior to admission to the California bar in 1984, Mr. Sokol provided independent financial consulting services to numerous real estate syndication firms, including National Partnership Investments (formerly a subsidiary of Coast Savings), where he drafted their public securities offering materials, The Heritage Group, where he helped structure their real estate acquisitions, and Fred Sands Realtors, where he gathered the financial data to form financial projections prior to syndication of real estate partnerships.

Education

Mr. Sokol received his B.A. from Stanford University in 1976, with Honors in Economics and his J.D. from the University of California, Los Angeles, School of Law, in 1984. Mr. Sokol was admitted to the State Bar in 1984 and is admitted to all of the United States District Courts in California.
